Diagnóstico y estrategia a 5 años
Construyeron algo bueno.
Ahora vamos a protegerlo
y multiplicarlo.

IRC: §1361 · §1366 · §1402(a)(2) Está bien |
| Reducción total de impuesto, por año | ~$60,000 |
La foto a 5 años
Camino A: seguir igual
Trabajar y reportar.
Total accesible
$1.0M-
$1.75M
SBA 7(a)$600K-$1.25M
Capital de crecimiento a tasa preferente.
Línea de crédito$150K-$300K
Capital de trabajo entre proyectos.
Refi del edificio$0-$200K
Cash-out, según avalúo.
Crédito corporativo$50K-$150K
Refinanciar el auto caro; construir score.
Estimado, no aprobación.

Limpieza y conciliación en QuickBooks, mes a mes. |
He fundado y vendido tres empresas de finanzas y negocios transfronterizos.

Nivel 1
Base Blindada
$9,000 · año 1
Qué hago
- Limpio y concilio tus libros
- Monto el sistema de 1099 y nómina
- Clasifico el sales tax y reclamo el reembolso
- Calendario de estimados y política de vehículos
- Ahorro seguro: 401(k), HSA, accountable plan
Cómo (día a día)
Cómo (día a día)
· Acceso a QuickBooks
· Últimos estados de cuenta
· 4-5 facturas recientes

Strategy, Tax & Growth
5-year diagnostic and strategy
You built something good.
Now let's protect it
and multiply it.
We reviewed your two years in depth. First, and fairly: you did things right. You have a real, solid business. In these pages you'll see what it could become, what your exit is, what threatens it today even though it hasn't knocked yet, and the plan for all of it. As your strategist, I stand up for you.
01
What you built
Before we talk about anything else, the fair thing: we looked at everything and you did things right. This isn't a rescue. It's a good business, and today is a good day.

What's done right (and worth protecting)
| What's right | Why it matters | Value | What we do |
|
Your salary (W-2) is higher than what you take as a distribution, both years. IRC: §3121 · Rev. Rul. 74-44 Good |
This is the #1 mistake the IRS penalizes in S-corps (paying yourself too little salary). You do the opposite: right. |
Avoids the most common adjustment. |
We document it as support for the position. |
|
The S-corporation is well chosen and saves tax legitimately. IRC: §1361 · §1366 · §1402(a)(2) Good |
The K-1 profit doesn't pay Social Security/Medicare. It's a real, legal saving from having the right structure. |
Thousands a year, legitimate. |
We protect it by keeping the salary reasonable. |
|
Your basis is high and clean, and distributions don't exceed it. IRC: §1367 · §1368 · Form 7203 Good |
Taking money out above basis triggers tax. That's not your case: there's plenty of room. |
No tax on withdrawals. |
We keep Form 7203 current year over year. |
|
The QBI deduction (20%) and itemization are properly taken. IRC: §199A · §63 · §164(b)(6) Good |
You take advantage of the deductions you're actually entitled to, within the law's limits. |
Correct saving. |
We just confirm and document. |
It's a good day. Very few businesses get here: real, profitable and well structured, with a building you own and solid basis. We're not starting from zero: we're starting from a strong base that's genuinely worth building on.
02
What it could become
With strategy, this business doesn't just hold steady: it yields more and builds wealth. Here's what's on the table, in dollars.
The starting point. Today you pay the full tax (in a strong year it was $75,719) with no plan to lower it. It's not that you did something wrong: it's that no one designed the year before it happened. That's exactly what changes.
How the saving is achieved (legal moves, in a representative year)
| Move | What it does | Annual saving |
Aggressive retirement 401(k) + profit sharing + cash balance | Shield up to ~$150,000 a year from tax and turn it into your wealth, not the IRS's. | ~$45,000 |
HSA health account | ~$8,550 deductible with a triple tax advantage. | ~$2,300 |
Turn personal expense into business expense accountable plan, Augusta, employing your kids | Reimburse home office, cell phone, real mileage; rent your home to the S-corp 14 days; pay your kids for real work. | ~$12,000 |
Sales tax done right disaster exemption + refund | Stop overpaying on materials and recover what was overpaid. | ~$10,000 |
| Total tax reduction, per year | ~$60,000 |
The 5-year picture
Path A: stay the same
Work and report. Pay the full tax every year. Zero wealth built by design.
Path B: with strategy
Design the year before it happens. Reduce the tax and build wealth, every year, compounding.
| After… | Tax saved (cumulative) | Retirement wealth (cumulative) |
| Year 1 | $60,000 | $150,000 |
| Year 3 | $180,000 | $485,000 |
| Year 5 | ~$300,000 | ~$885,000 |
That alone already changes the game. ~$300,000 less in tax and ~$885,000 of retirement wealth built in five years, that stays yours. And we haven't even talked about the biggest thing: how much the company is worth and what your exit is.
03
What is your exit?
A question that's almost never asked, and that should always be on the table: where is all this headed? Because you no longer just have a job. You have an asset that's worth something.
Your company is already worth something (and no one has calculated it)
Estimated value today
$1.3M-
$2.2M
Not yet optimized
A business sells for a multiple of what it generates, plus its assets. With your profit and your building, there's already a real value there, dormant, that no one has put on paper for you. Estimated; the exact value is set by a business valuation.
Two exits, always on the table
Retire and collect
The company keeps operating and pays you, without you working every day. Retirement income, absentee owners.
Sell and cash out big
Exit with the big gain all at once, taking advantage of the tax treatment of a well-structured sale.
What happens when you turn 60? What's the goal? That answer defines today's strategy. Without a destination, every decision is made blind.
The sleeping asset: your building
You have a building (a large asset) that today only houses the operation. You're not putting it to work. With the credit you qualify for, that building is the lever to buy more properties and create income that doesn't depend on you working.
Building you own
→
Leverage with credit
→
More properties
→
Income that doesn't depend on you
The fuel: credit you already qualify for (estimate)
Total accessible
$1.0M-
$1.75M
SBA 7(a)$600K-$1.25M
Growth capital at a preferred rate.
Line of credit$150K-$300K
Working capital between projects.
Building refi$0-$200K
Cash-out, based on appraisal.
Corporate credit$50K-$150K
Refinance the expensive car; build score.
Estimate, not approval. The real number is set by the bank (debt coverage, collateral, appraisal and scores). Clean books and steady sales take you to the top of the range.
The question isn't whether it's worth something, it's how much you want it worth the day you exit. A healthy business in your field can grow 8-12% a year. With the foundation clean, the credit working and more properties adding income, the exit value doesn't stay at ~$1.5M: it multiplies. That's building a company, not just having a job.
04
What's already at the door: the IRS
With the same honesty as the dream, the other side. And it has to be said clearly.
None of this is because you did anything wrong. It's what happens when you work hard but with no strategy or experience to guide you: habits build up that, looked at closely, don't hold up. And here it's not theory: with the Texas Comptroller it's no longer hypothetical, it already knocked on your door. This is what we need to shield.
| What we found | Why it matters to you | What's at stake | How we close it |
|
You paid $755,731 (2024) and $543,424 (2025) in labor, but the return says you made NO payments requiring a 1099. IRC: §6041 / §6041A · §6721 / §6722 · §3406 Caution |
As a contractor, much of that labor is usually subcontractors. Each one needs a 1099. It's the #1 exposure. |
From thousands to tens of thousands in penalties. |
We separate employee vs. subcontractor, gather the W-9s and issue the 1099s from here on. |
|
The luxury fleet (Escalade, Mercedes, Sprinter, F250 Shelby, Tacoma) was deducted at 100%, with no log, with car expense on top. IRC: §280F · §274(d) · §168(k) / §179 Caution |
Luxury vehicles at 100% business, with no records and double deduction, are an audit magnet. |
Part of ~$152,000/year in depreciation. |
Written vehicle policy, a log, and separating depreciation from expense properly. |
|
In 2024 the balance due was $64,154 with a $2,714 penalty, for not making estimates. IRC: §6654 Support |
With S-corp profit you have to pay estimates. Without them, the surprise and the penalty arrive. |
Recurring penalty + cash hit. |
Automated estimates calendar. |
|
Sales tax on commercial jobs invoiced without tax, and use tax on materials not paid. Texas: Rule 3.357 · Rule 3.291 Verify |
It's exactly where the Comptroller audited you. Misclassified, the tax comes out of your pocket. |
Adjustment + penalty and interest. |
We classify each job, apply the disaster exemption and claim refunds. |
|
Loose ends on loans: the company lent you $101,893, and the "T. Romero Ink" ($11,334), without formalizing. IRC: §7872 · §1368 Support |
A loan to the owner or a related party with no note, interest or terms can be treated as a disguised distribution. |
Possible reclassification. |
We formalize it with a promissory note, market interest and terms, or reclassify it clean. |
|
The books don't tie out: in 2024, $575,463 of unreconciled difference. IRC: §6001 (obligation to keep records) Support |
If the books don't reconcile, any review gets complicated and is decided blind. |
Foundation for everything else. |
Cleanup and reconciliation in QuickBooks, month by month. |
The exposure, in one figure. If a review looked closely and reclassified, we're talking about an aggregate range of $80,000 to $200,000+. The good news: your account is still in good standing, so there's time. And the same foundation work that sparks the dream also closes this threat. One effort, both fronts resolved.
05
How we fix it
Foundation first, then strategy. You can't optimize on books that don't tie out. This is the order of the work.
First · Foundation
Fix the administrative habits
Reconciled books, a 1099 and payroll process, an estimates calendar, a vehicle policy, correct sales tax classification, formalizing loans. This is where the threat is closed.
Then · Strategy
Design the year so it flows
Aggressive retirement, HSA, expense conversion, ROBS, comp and entity, sales tax in your favor, and the credit to grow. This is where we chase the dream and the exit, year after year.
Always · Partnership
Your strategist, not your form-filler
We sit down before the year happens, not after. We design, adjust and stand up for you before the IRS and the Comptroller.
06
Who you'll be working with
Josh Alballero
Your strategist · CSO + CFO
More than 25 years as a tax and business strategist, advising companies and families in the United States and Latin America, in English and Spanish. I'm not the one who fills out a form once a year: I come in as chief strategy and finance officer at once, making the real decisions month by month.
I have founded and sold three companies in finance and cross-border business. My job is to make sure your company ends up financially solid and built to last: taxes, margins, cash flow and wealth, all under one roof.
CPA vs. strategist
A CPA reports what already happened. I design the year before it happens.
Bilingual and binational

The investment
Each level says three things: what I do, how I do it day to day, and what I deliver in dollars. Both carry strategy and real savings; the difference is how much.
Level 1
Shielded Base
$9,000 · year 1
What I do
- Clean and reconcile your books
- Set up the 1099 and payroll system
- Classify sales tax and claim the refund
- Estimates calendar and vehicle policy
- Safe savings: 401(k), HSA, accountable plan
How (day to day)
Bookkeeping current every month, a review with me every quarter, and your returns done with strategy.
What I deliver
I close your exposure ($80K-$200K of risk) and save you ~$30,000-$40,000 a year.
RECOMMENDED
Level 2
Fractional CFO + CSO
$19,000 · year 1
What I do
- Everything in Level 1, plus:
- Aggressive strategy: cash balance / defined benefit plan
- Augusta, employing your kids, real estate structure
- ROBS plan: use your retirement to reinvest in the business, with a plan and guided
- Growth, credit and exit: margins, SBA / line of credit, sale value
How (day to day)
Monthly session at the financial dashboard, tax planning all year, and I stand up for you before the IRS and the Comptroller.
What I deliver
~$60,000+ a year in tax, build ~$150,000+/year in wealth, and grow the business's exit value.
Why Level 2
Doubles the savings, builds ~$150,000 a year in wealth and sets growth and the exit in motion. It's the one that moves the needle.
Year 2 onward · maintenance
Bookkeeping + return + ongoing planning: ~$5,400 a year. The machine is already built; it just gets maintained.
And all of this is deductible. The fee is an ordinary business expense (IRC §162): at your rate, the real net cost drops to as low as ~30%. You pay with pre-tax dollars to generate savings and wealth.
08
The next step
Why now. You said it yourselves: you want to be proactive before the year ends. And it's literal: to capture this year's retirement savings, the plan has to be set up before December 31. Every week that passes is savings you don't get back.
Let's start before year-end
You protect what you built and pursue the exit with a single decision. Choose your level (Shielded Base or Fractional CFO + CSO) and we'll book 30 minutes to get going. The urgent items we close right away.
